Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and RunKoda ("RunKoda," "we," "us," or "our") and govern your access to and use of the RunKoda platform at runkoda.com, including its cloud IDE, AI features, containerized workspaces, hosting, APIs, and all related services (collectively, the "Service").
BY CHECKING THE ACCEPTANCE BOX DURING REGISTRATION, CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT REGISTER FOR OR USE THE SERVICE.
1. Acceptance and Changes
Your acceptance of these Terms is recorded at the time you register (including the date and time you check the acceptance box). We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date and, where practicable, communicated to you. Your continued use of the Service after changes take effect constitutes binding acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately stop using the Service and may close your account.
2. Eligibility
You must be at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. By using RunKoda, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into these Terms, that you are not located in, under the control of, or a national or resident of any country or person subject to applicable embargoes or sanctions, and that you are not barred from using the Service under any applicable law. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Account Registration and Security
- You must provide a valid email address and create a password (or use an approved sign-in method) to register, and you must check the acceptance box confirming agreement to these Terms and the Privacy Policy.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you.
- You may not share, sell, or transfer your account, create accounts by automated means, or maintain more than one account to evade limits, bans, or payment obligations.
- You must notify us immediately at support@runkoda.com if you suspect unauthorized access to your account.
- We reserve the right to refuse registration, and to suspend, restrict, ban, or terminate any account, at our sole discretion.
4. Acceptable Use Policy
4.1 Permitted Use
The Service provides a cloud-based integrated development environment (IDE) with AI-assisted coding, real-time collaboration, containerized workspaces, and optional hosting. You may use the Service only for lawful software development purposes and strictly in accordance with these Terms.
4.2 Prohibited Activities
You agree not to use, and not to allow any third party to use, the Service to:
- Violate any applicable law, regulation, sanction, or third-party right (including privacy, publicity, contract, and intellectual property rights);
- Develop, train, host, store, compile, package, test, deploy, or distribute malware, viruses, ransomware, spyware, keyloggers, botnets, rootkits, worms, or any other malicious, harmful, or destructive code;
- Build or operate tools or campaigns for phishing, credential theft, fraud, identity theft, carding, account takeover, spam, or unsolicited bulk messaging;
- Conduct cryptocurrency mining, distributed computing for profit, denial-of-service or stress/load testing of third parties, proxy/VPN abuse, or any activity designed to overload, degrade, or abuse our or any third party's infrastructure;
- Gain or attempt to gain unauthorized access to, scan, probe, disrupt, or exploit any system, network, account, or data — whether ours, another user's, or a third party's;
- Circumvent, disable, or interfere with security, authentication, rate-limiting, billing, or usage-metering features of the Service;
- Scrape, crawl, or use automated means to access the Service except via interfaces we expressly authorize;
- Upload, host, generate, or distribute content that is illegal, infringing, defamatory, harassing, hateful, or that depicts or facilitates child sexual abuse material (CSAM), terrorism, human trafficking, or other serious harm;
- Use the AI features to generate content that is unlawful or that infringes or misappropriates any third-party right;
- Resell, sublicense, white-label, or redistribute access to the Service without our prior written consent.
4.3 Security Tooling, Penetration Testing, and "Hacking"
The Service is a general-purpose development platform. You acknowledge and agree that:
- You bear sole and exclusive responsibility for any code, script, tool, exploit, payload, scanner, or program you write, generate (including via AI), build, run, or deploy using the Service, and for all consequences of doing so.
- Any security-related, network, or "offensive" tooling may be developed or used only against systems and data that you own or for which you hold prior, explicit, written authorization, and only where doing so is lawful in every relevant jurisdiction.
- Using the Service to attack, intrude upon, disrupt, surveil, or extract data from systems or persons without authorization is strictly prohibited, may be a criminal offense, and is undertaken entirely at your own risk and liability.
- RunKoda does not review, endorse, supervise, or take responsibility for what you create, and disclaims all liability for any unlawful, harmful, or unauthorized use of anything built with or run on the Service. You alone are responsible to law enforcement, regulators, and any affected parties.
4.4 High-Risk and Sensitive Applications
The Service is not designed or authorized for use in environments where failure could lead to death, personal injury, or severe physical, financial, or environmental harm (e.g., life support, emergency services, nuclear or aviation control, or critical financial/payment infrastructure). If you choose to use the Service for any high-risk or regulated purpose (including exchanges, trading, payments, lending, gambling, or handling of regulated personal or financial data), you do so entirely at your own risk and are solely responsible for all compliance, licensing, security, audits, and consequences.
5. Your Content and Applications
5.1 Ownership
You retain all rights and ownership of the code, files, prompts, and content you create or upload using the Service ("Your Content"). RunKoda claims no ownership over Your Content.
5.2 License to Us
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, and display Your Content solely as necessary to operate and provide the Service (including sending relevant code context and prompts to third-party AI providers when you use AI features, and creating backups). This license ends when you delete Your Content or your account, subject to reasonable backup retention and legal obligations.
5.3 Your Sole Responsibility
You are solely and fully responsible for Your Content and for any application, website, service, or software you develop, deploy, distribute, or operate using the Service ("Your Applications"), including their security, legality, content, data handling, and their effect on any end user or third party. You represent and warrant that you hold all rights necessary for Your Content and Your Applications and that they do not violate these Terms or any law. RunKoda is not a party to, and assumes no responsibility or liability for, any relationship, transaction, or dispute between you and the users of Your Applications.
5.4 No Endorsement and Right to Remove
We do not pre-screen Your Content or Your Applications and do not endorse them. We nonetheless reserve the right, but assume no obligation, to review, refuse, disable, remove, throttle, or take down any content, workspace, deployment, or account that we believe, in our sole discretion, violates these Terms or applicable law, or that poses a risk to us, other users, or any third party — at any time and, where appropriate, without prior notice.
6. AI-Assisted Features
- The Service includes AI-powered code generation, chat, and editing features delivered through third-party AI models (e.g., OpenAI, Anthropic, Google).
- AI output is provided "AS IS" with no warranty of accuracy, completeness, correctness, security, originality, or fitness for any purpose, and may be wrong, insecure, or infringing.
- You are solely responsible for reviewing, testing, securing, and validating all AI output before relying on or deploying it. We are not liable for any errors, bugs, vulnerabilities, losses, or damages arising from AI output.
- You are responsible for ensuring your use of AI output complies with applicable laws and does not infringe third-party rights.
- When you use AI features, relevant portions of your code and prompts are transmitted to third-party AI providers. By using these features, you consent to that transmission and to the providers' processing of such data under their own terms.
7. Monitoring, Investigation, and Cooperation with Authorities
- To protect the Service, our users, and third parties, and to detect fraud, abuse, and illegal activity, we may (but are not obligated to) monitor, log, and analyze account activity, resource usage, traffic patterns, deployments, and — where reasonably necessary for security, abuse prevention, billing integrity, or legal compliance — Your Content.
- We may use automated systems and manual review to flag suspicious or abusive behavior, including evasion of limits or bans, fraudulent payments, chargeback abuse, and prohibited use under Section 4.
- We may preserve, investigate, and disclose information, including account and usage data and Your Content, where we believe in good faith that doing so is necessary to comply with law, a subpoena, court order, or governmental request; to enforce these Terms; to detect, prevent, or address fraud, security, or technical issues; or to protect the rights, property, or safety of RunKoda, our users, or the public.
- We may cooperate with law enforcement and report activity we reasonably believe to be unlawful. We are not liable to you for any such monitoring, preservation, disclosure, or cooperation.
8. Suspension, Termination, and Bans Without Refund
- You may stop using and close your account at any time via your account settings or by contacting support@runkoda.com.
- We may suspend, restrict, ban, or terminate your account or any workspace or deployment at any time, with or without notice, and at our sole discretion, including for actual or suspected violation of these Terms, abuse, fraud, non-payment, chargebacks, risk to the Service or others, or as required by law.
- If your account is suspended, banned, or terminated for violation of these Terms or for abusive, fraudulent, or unlawful conduct, you are not entitled to any refund, credit, or compensation for any unused subscription period, prepaid amounts, packs, credits, or balances, and any such amounts are forfeited to the maximum extent permitted by law.
- Upon termination, your right to use the Service ceases immediately. We may delete or retain your data in accordance with our Privacy Policy and applicable law.
- Sections that by their nature should survive termination — including 4 (Acceptable Use), 5 (Your Content and Applications), 6 (AI Features), 7 (Monitoring), 8 (No Refund on Violation), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 15 (Assumption of Risk), and 20 (Governing Law) — survive termination.
9. Workspaces, Resources, and Backups
- Each workspace runs in an isolated container with allocated CPU, memory, and storage limits. We may modify resource allocations, stop idle containers, throttle, or limit usage to ensure fair access and protect the platform.
- Containers may be stopped after periods of inactivity. While files are persisted on volumes, running processes and packages not part of the base image may need to be reinstalled.
- We are not responsible for any loss of, or inability to access, data, code, or deployments resulting from container restarts, resets, maintenance, suspension, termination, infrastructure failure, or any other cause. You are solely responsible for maintaining your own independent backups of anything important.
10. Subscriptions, Payments, and Refund Policy
- Certain features require a paid subscription or one-time purchase. Pricing is displayed on our Pricing page and may change at any time; existing subscribers will be given reasonable notice of price changes affecting renewals.
- Paid plans are billed in advance (monthly or annually) and, where applicable, renew automatically until cancelled. You authorize us and our payment processors to charge your selected payment method.
- All fees and purchases are final and non-refundable, except where a refund is expressly required by applicable mandatory law. Quotas, credits, and packs that reset or expire are not redeemable for cash and are not refundable.
- You are responsible for all applicable taxes. Failure to pay, payment reversal, or chargeback abuse may result in immediate suspension, downgrade, loss of access, and forfeiture of balances.
- Availability of payment methods (including card and cryptocurrency) may change, be limited, or be withdrawn at our discretion.
11. Service Availability and Beta Features
- We do not guarantee that the Service will be uninterrupted, timely, secure, error-free, or available at any particular time. We may perform scheduled or emergency maintenance and may modify, suspend, or discontinue any part of the Service at any time.
- Features labeled "beta," "preview," "experimental," or similar are provided for evaluation only, without any warranty or support, and may be changed or removed at any time.
- We are not liable for any downtime, suspension, discontinuation, data loss, or damages resulting therefrom, regardless of cause.
12. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, that results or AI output will be accurate or reliable, that defects will be corrected, or that the Service is free of harmful components. You use the Service, and rely on any output, entirely at your own risk.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUNKODA AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY:
- Loss of profits, revenue, goodwill, data, or business opportunities;
- Cost of procuring substitute products or services;
- Damages resulting from AI output, Your Content, or Your Applications;
- Damages resulting from unauthorized access to, loss of, or alteration of data;
- Damages resulting from any third party, or from any interruption, suspension, or termination of the Service;
- Damages arising from your reliance on the Service for any high-risk or regulated purpose,
WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).
Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions our liability is limited to the fullest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless RunKoda and its owners, officers, directors, employees, contractors, agents, suppliers, and affiliates from and against any and all claims, demands, investigations, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) Your Content or Your Applications; (c) anything you develop, generate, run, deploy, or distribute using the Service; (d) your violation of these Terms or any law or third-party right; (e) any dispute between you and an end user or third party; or (f) any unauthorized, unlawful, or harmful activity conducted through your account. We may assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with us.
15. Assumption of Risk and Release
You knowingly and voluntarily assume all risks arising from your use of the Service and from Your Content and Your Applications. To the maximum extent permitted by law, you release and waive any and all claims against RunKoda and its affiliates relating to the conduct of other users, third parties, or the outcomes of anything you build, run, or deploy using the Service.
16. Export Controls and Sanctions
You agree to comply with all applicable export control, trade, and economic sanctions laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in any sanctioned or embargoed jurisdiction, and that you are not on any restricted-party or denied-persons list. You will not use the Service in violation of any such laws.
17. Copyright, DMCA, and Abuse Reports
We respect intellectual property rights and respond to valid notices of alleged infringement. If you believe content on the Service infringes your copyright, or you wish to report abuse or unlawful activity, contact us at support@runkoda.com with sufficient detail to identify the content and your claim. We may remove allegedly infringing or abusive content and terminate repeat infringers.
18. Third-Party Services
The Service may integrate with or link to third-party services (e.g., AI providers, payment processors, code hosts). We do not control and are not responsible for third-party services, their availability, or their terms and practices. Your use of third-party services is governed by their respective agreements.
19. Governing Law, Arbitration, and Class Action Waiver
These Terms are governed by the laws of the United States and, to the extent applicable, the State in which RunKoda is established, without regard to conflict-of-law rules. Except where prohibited by applicable mandatory law, any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding individual arbitration, and you and RunKoda waive any right to a jury trial and to participate in any class, collective, or representative action. If you are a consumer in a jurisdiction whose mandatory law grants you the right to bring proceedings in local courts or under local law, nothing in this Section deprives you of those mandatory rights.
20. Severability and Waiver
If any provision of these Terms is held unenforceable or invalid, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
21. Entire Agreement and Assignment
These Terms, together with our Privacy Policy and any policies referenced herein, constitute the entire agreement between you and RunKoda regarding the Service and supersede all prior agreements. You may not assign these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
